Terms of Service

1. Acceptance of Terms

By accessing or using CostLayer (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Description of Service

CostLayer is a web-based AI API cost tracking and optimisation platform. The Service aggregates usage and billing data from supported AI providers (OpenAI, Anthropic, Google AI) and provides dashboards, alerts, forecasts, and model swap recommendations. CostLayer accesses your provider accounts using read-only API keys and does not modify your provider settings or data.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

4. Subscription and Payment

CostLayer offers paid subscription plans billed monthly or annually. All fees are in US dollars and are non-refundable except as required by law. You may cancel your subscription at any time from your account settings. Upon cancellation, you retain access until the end of your current billing period.

5. Acceptable Use

You agree not to misuse the Service, including but not limited to: attempting to access accounts or data belonging to other users, reverse-engineering or scraping the Service, using the Service to violate any applicable law, or interfering with the Service’s infrastructure or performance.

6. Intellectual Property

The Service, including its design, code, algorithms, and documentation, is the intellectual property of CostLayer. You retain ownership of your data. By using the Service, you grant CostLayer a limited licence to process your data solely for the purpose of providing the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. CostLayer does not access your AI prompts, completions, or conversation content. We only process usage and billing metadata from your connected providers.

8. Limitation of Liability

CostLayer is provided “as is” without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to loss of data, revenue, or business opportunities. Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service if you violate these terms or engage in behaviour that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. You may request export or deletion of your data within 30 days of termination.

10. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or through a notice on the Service. Continued use after changes constitutes acceptance of the updated terms.
